Terms of Service

By creating an account or using Whollio, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use our services.

You must be at least 18 years old and have the authority to bind your organization to these Terms.

Whollio provides a B2B wholesale commerce platform including catalog management, distributor and retailer network management, order processing, analytics, and related services.

We reserve the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice.

To use Whollio, you must register for an account and:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activity under your account

Paid features are billed on a subscription basis. Pricing is as described on our Pricing page and may be updated with 30 days' notice.

All fees are in Indian Rupees (INR) unless otherwise stated. Taxes (including GST) are charged separately as applicable.

Subscriptions auto-renew unless cancelled before the renewal date. Refunds are issued only as required by applicable law.

You agree not to:

• Use the platform for unlawful purposes or in violation of any applicable law
• Upload malicious code, viruses, or any content that disrupts our services
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer or copy any part of the Whollio platform
• Resell or sublicense access to Whollio without our written consent

You retain ownership of all data you upload to Whollio. By using our services, you grant us a limited license to process your data solely to provide the services.

We will not use your business data for our own commercial purposes or share it with third parties except as described in our Privacy Policy.

Whollio and its licensors own all rights in the platform, software, and content we provide. These Terms do not grant you any intellectual property rights in our services.

You retain all rights to your own brand assets, product data, and business content you upload.

To the maximum extent permitted by law, Whollio's total liability for any claim arising from these Terms or your use of the services shall not exceed the amounts you paid to Whollio in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, data, or business opportunities.

Whollio provides the platform 'as is' and 'as available.' We do not warrant that the services will be uninterrupted, error-free, or free from harmful components.

We do make commercially reasonable efforts to maintain 99.9% uptime and will communicate planned maintenance in advance.

You may cancel your account at any time. We may suspend or terminate your account for material breach of these Terms with written notice.

Upon termination, you may export your data within 30 days. After that period, we may delete your data in accordance with our retention policy.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or in-app notice. Continued use after changes take effect constitutes acceptance.
